From prototype to real-world impact – be part of a global shift by doing work that matters.Job DescriptionOur Corporate Legal Counsels support Endava’s in-house legal function by providing corporate legal advice across a broad range of matters, including governance, public company compliance, M&A support, treasury, restructurings and global expansion.Working under the guidance of senior legal colleagues, this role partners closely with Finance, Tax, Treasury, Sales and other business teams to support informed commercial decision-making. The role offers exposure to senior stakeholders and listed-company governance within a global, regulated organisation.The role also contributes to improving legal efficiency and quality through the responsible use of legal technology and AI-enabled tools, in line with internal policies and professional standards.Key ResponsibilitiesCorporate & Regulatory SupportSupport the provision of corporate legal advice across the UK, US, Europe and other jurisdictions, under supervisionAssist with corporate governance and regulatory compliance mattersSupport the establishment of new group entities, including coordination with external counsel and preparation of incorporation documentation and filingsPublic Company & ReportingSupport US public company compliance activities, including assisting with the legal review of the annual report (Form 20-F) and UK annual reportsAssist with securities law and listing rule compliance, mandatory filings and disclosuresRespond to auditor queries and support SOX-related processes, in coordination with senior legal colleagues and external advisersGain exposure to listed-company governance and disclosure processes, including interaction with senior stakeholdersM&A, Treasury & TransactionsAssist on M&A transactions, including due diligence, drafting and reviewing transaction documents, negotiations, completion activities and post-acquisition integrationSupport internal restructurings and intercompany arrangementsAssist with treasury-related matters, including loan capitalisations and banking facilitiesSupport risk assessment, issue escalation and stakeholder communication across transactions and integration activitiesLitigation, Risk & External CounselSupport corporate litigation matters, including coordination with external counselDraft and review corporate legal documents and contractsSupport the selection and management of external legal counsel, including assisting with RFPs and cost managementMonitor and escalate related party transactions, as applicableLegal Technology & AIUse AI-enabled legal tools (e.g. document review, legal research and generative AI) to support drafting, analysis and issue spotting, under appropriate supervisionApply professional judgement when using AI-enabled tools, including validating outputs, identifying legal risk, and ensuring confidentiality, data protection and ethical standards are maintainedContribute to continuous improvement of legal processes through responsible use of legal technologyCollaboration & DevelopmentAssist with the preparation of board and committee materials and support company secretarial mattersWork collaboratively with colleagues across Finance, Tax, Commercial, Employment and ESGAssist with the supervision of a junior lawyer’s corporate training seatDevelopment & GrowthBuild experience across corporate governance, public company compliance and cross-border transactionsDevelop confidence advising senior stakeholders under supervisionOpportunity to broaden responsibility over time in line with capability and business needs QualificationsSkills & ExperienceRequiredLaw degree (LLB, JD or equivalent)Experience gained in private practice, ideally within a corporate or M&A teamStrong drafting, organisational and analytical skillsAbility to manage multiple matters concurrently in a fast-paced environmentClear, confident communicator with strong attention to detailPreferredIn-house corporate legal experience (desirable but not essential)Exposure to public company compliance, securities law or capital markets (US and/or UK)Experience supporting cross-border transactions or restructuringsPractical experience using AI-enabled legal tools and critically assessing AI-generated outputsPersonal AttributesProactive, organised and delivery-focusedCollaborative team player with strong professional judgementIntellectually curious and motivated to learn and developStrong commitment to confidentiality, ethics and professional standards Additional InformationDiscover some of the global benefits that empower our people to become the best version of themselves:Finance: Competitive salary package, share plan, company performance bonuses, value-based recognition awards, referral bonus; Career Development:Career coaching, global career opportunities, non-linear career paths, internal development programmes for management and technical leadership;Learning Opportunities:Complex projects, rotations, internal tech communities, training, certifications, coaching, online learning platforms subscriptions, pass-it-on sessions, workshops, conferences;Work-Life Balance: Hybrid work and flexible working hours, employee assistance programme;Health: Global internal wellbeing programme, access to wellbeing apps;Community: Global internal tech communities, hobby clubs and interest groups, inclusion and diversity programmes, events and celebrations.
